#SaudiArabia #M&A - HUMAIN, has acquired a controlling interest in CNTXT, a Riyadh-based cloud and digital services firm formed by Aramco and Cognite in 2022. The announcement came two days after Aramco closed the acquisition of its 49 percent stake in HUMAIN, which included the transference of certain Aramco technology assets and operations to the national AI company. CNTXT adds enterprise AI, cloud, data, cybersecurity and professional services to HUMAIN’s platform. CNTXT revenue has grown more than fourfold over the past three years and it brings more than 400 corporate and government customers to HUMAIN. No financial details were disclosed relating to the value of the CNTXT transaction or its shareholders.
SO WHAT? - HUMAIN has invested heavily in infrastructure, AI development and people, but at less than 18 months old, it will take time to acquire a critical mass of customers. CNTXT installs and runs technology for more than 400 clients, including operators of critical infrastructure, plus a base of Google Cloud resale revenue. Aside from the obvious current and future commercial value that CNTXT brings to HUMAIN, the consolidation further positions HUMAIN as a one-stop AI shop for Saudi Arabia’s government and large enterprise customers.
KEY POINTS:
In a joint news release shared on Tuesday, it has been announced that “CNTXT has joined HUMAIN”, which is believed to mean that HUMAIN has acquired CNTXT as part of the Aramco investment in HUMAIN announced on Sunday. The move strengthens HUMAIN’s ability to deliver enterprise AI, cloud, data and technology services at scale.
CNTXT’s services cover cloud transformation, managed cloud, data and analytics, AI, cybersecurity, enterprise integration, professional services and ongoing support. It also has proprietary technology products built around the needs of organisations adopting cloud, data and AI.
CNTXT was founded in June 2022 as a joint venture between Aramco and Cognite, the industrial software company. It is headquartered in Riyadh and is Google Cloud’s reseller in Saudi Arabia.
CNTXT’s revenue has grown more than fourfold over the past three years. Early revenue came mostly from reselling Google Cloud, while professional services and proprietary products now add more.
The company serves more than 400 corporate and government customers, including operators of some of the Kingdom’s critical infrastructure. Google Cloud consumption through CNTXT doubled in 2025, and the company expects it to double again in 2026.
The company said it focuses on growth over short-term profit. It was also preparing what it called an important transformation, which has now been announced as the HUMAIN deal.
HUMAIN says CNTXT extends its reach from the technology it builds into the enterprise settings where it is deployed. Customers get one route from planning to implementation, production and managed services.
CNTXT’s product capabilities add an application layer to HUMAIN’s offer, turning cloud, data and AI into solutions for businesses and the public sector.
No financial details were disclosed in relation to the acquisition news. However, it is believed that Aramco’s stake in CNTXT has moved to HUMAIN as part of its 49% acquisition.
No comment has been made regarding Cognite, the original joint venture partner that formed CNTXT together with Aramco. Aramco bought a 7.4% share in Cognite in 2022 via (via Aramco Overseas Company B.V.) at a valuation of over $1.5 billion at the time. Aramco’s stake value is estimated to have increased to approximately $229 million by mid-2026.
ZOOM OUT - On 1 November 2026, Aramco closed its purchase of a 49 percent stake in HUMAIN, with PIF keeping 51 percent. Aramco paid about SAR 9.9 billion ($2.6 billion) in cash in 2026, plus AI, compute and digital assets, including part of its Aramco technology portfolio. The European Commission had cleared the joint control in July 2026 under the EU Merger Regulation, finding no competition concerns. PIF and Aramco signed the first term sheet in October 2025. HUMAIN plans 6 gigawatts of AI data centre capacity by 2034.
